Terms of Service

By accessing or using the website at swiftdevlabs.com ("Site") or engaging SwiftDevLabs for software development services, you ("Client") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our Site or services.

SwiftDevLabs reserves the right to update these Terms at any time. Continued use of our services after changes constitutes acceptance of the revised Terms.

SwiftDevLabs provides bespoke software development services including, but not limited to:

• Web and mobile application development
• Artificial intelligence and machine learning solutions
• Custom enterprise software
• Cloud infrastructure and DevOps
• Marketing automation and integrations

The scope of work, deliverables, timelines, and fees for each engagement are defined in a separate written Statement of Work (SOW) or Project Agreement agreed upon by both parties prior to commencement.

The Client agrees to:

• Provide accurate, complete, and timely information, content, and feedback required for project completion.
• Designate a primary point of contact with authority to approve deliverables.
• Respond to questions and review requests within the timeframes agreed in the SOW.
• Ensure that any materials provided to SwiftDevLabs do not infringe third-party rights.

Delays caused by the Client's failure to meet these obligations may result in revised timelines and additional fees.

• Fees are set out in the applicable SOW or invoice and are quoted in USD unless otherwise stated.
• A deposit (typically 30–50% of project value) is required before work commences.
• Remaining payments are due per the milestone schedule in the SOW.
• Invoices not paid within 14 days of the due date may incur a late fee of 1.5% per month on the outstanding balance.
• SwiftDevLabs reserves the right to suspend work on overdue accounts.

Client Materials: The Client retains all intellectual property rights to materials, data, and content provided by the Client.

Deliverables: Upon receipt of full and final payment, SwiftDevLabs assigns to the Client all intellectual property rights in the custom deliverables created specifically for the Client under the SOW.

SwiftDevLabs IP: SwiftDevLabs retains ownership of all pre-existing code, frameworks, tools, libraries, and methodologies ("Background IP"). To the extent Background IP is incorporated into deliverables, SwiftDevLabs grants the Client a non-exclusive, royalty-free licence to use it solely as part of the deliverables.

Portfolio: Unless otherwise agreed in writing, SwiftDevLabs may reference the Client's name and a general description of the project in its portfolio and marketing materials.

Both parties agree to keep confidential any non-public information disclosed by the other party in connection with the project ("Confidential Information"). This obligation does not apply to information that: (a) is or becomes publicly available without breach; (b) was already known to the recipient; or (c) is required to be disclosed by law.

Confidentiality obligations survive termination of these Terms for a period of 3 years.

SwiftDevLabs warrants that:

• Services will be performed with reasonable care and skill.
• Deliverables will substantially conform to the agreed specifications at the time of delivery.

SwiftDevLabs does not warrant that deliverables will be error-free or operate without interruption. The Client is responsible for testing acceptance before deploying deliverables in a production environment.

Disclaimer: Except as expressly stated herein, services and deliverables are provided "as is" without warranties of any kind, express or implied.

To the maximum extent permitted by applicable law, SwiftDevLabs' total liability for any claim arising out of or in connection with these Terms shall not exceed the total fees paid by the Client in the 3 months preceding the event giving rise to the claim.

SwiftDevLabs shall not be liable for any indirect, incidental, consequential, special, or exemplary damages, including loss of profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.

Either party may terminate a project engagement:

• For convenience, with 14 days' written notice. The Client shall pay for all work completed to the date of termination.
• Immediately, if the other party materially breaches these Terms and fails to remedy the breach within 7 days of written notice.

Upon termination, each party shall return or destroy the other's Confidential Information on request.

You agree not to:

• Use the Site for any unlawful purpose or in a way that violates any applicable laws.
• Attempt to gain unauthorised access to any part of the Site.
• Introduce viruses, malware, or other harmful code.
• Scrape, crawl, or harvest data from the Site without our written consent.

These Terms are governed by and construed in accordance with the laws of Pakistan. Any disputes arising from these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Lahore, Pakistan, under the rules of the Pakistan International Arbitration Centre (PIAC).

Neither party shall be liable for delays or failures caused by circumstances beyond reasonable control, including natural disasters, war, government actions, internet outages, or pandemic events. The affected party must notify the other promptly and make reasonable efforts to resume performance.

These Terms, together with any applicable SOW or Project Agreement, constitute the entire agreement between the parties and supersede all prior agreements, representations, or understandings relating to the same subject matter.
